Shareholders of Elma approve all proposals by the Board of Directors
Annual General Meeting of Elma Electronic AG of April 21, 2016
CH-Wetzikon, April 21, 2016 - At today’s Annual General Meeting in Wetzikon, the shareholders of Elma Electronic AG approved all agenda items and proposals put forward by the Board of Directors. The meeting was attended by shareholders and shareholder representatives accounting for 147’064 shares or 64.36% of the registered share capital of Elma.The Annual General Meeting approved the Annual Report as well as the annual financial statements and the consolidated financial statements for the financial year 2015. In addition, the Annual General Meeting approved the appropriation of the accumulated profit for 2015. It decided to forego the payment of a dividend. The members of the Board of Directors and the Executive Board were discharged. The proposal for overall compensation of the Board of Directors for the period between the 2016 and 2017 Annual General Meetings was approved, as was the overall compensation of the Executive Board for the financial year 2017.
All members of the Board of Directors, Martin Wipfli, Walter Häusermann, David Schnell and Rudolf W. Weber, were re-elected, each for a term of office of one year extending until completion of the next ordinary Annual General Meeting, as was the Chairman of the Board of Directors, Martin Wipfli. Peter Hotz was elected as a new and fifth member of the Board. The members of the Compensation Committee, Rudolf W. Weber and Martin Wipfli, were re-elected. The law firm Froriep was re-elected as independent proxy for a one year term of office extending until completion of the next ordinary Annual General Meeting and PricewaterhouseCoopers AG was confirmed as the external auditor for the financial year 2016 until completion of the next ordinary Annual General Meeting.
